Contractor Agreement

This Contractor Agreement (“Agreement”) sets out the terms between Helppa (“Helppa”, “we”, “us”, “our”) and you, the service provider (“Helppa”, “you”, “your”) when you register to provide services through Helppa.

By registering, accepting bookings, or providing services through Helppa, you agree to be bound by this Agreement.

1. Status as a self-employed contractor

You acknowledge and agree that:

  • You are self-employed
  • You are not an employee, worker, partner, or agent of Helppa
  • Nothing in this Agreement creates an employment relationship
  • You are fully responsible for your own business activities, tax, and legal obligations

You are responsible for registering with HMRC and paying all income tax, National Insurance, and any other taxes arising from your work.

2. Right to work

You confirm that:

  • You have the legal right to work in the United Kingdom
  • You will provide evidence of your right to work when requested
  • You will notify Helppa immediately if your right to work status changes

3. Onboarding and approval

To join Helppa, you agree that:

  • You will complete an application and onboarding process
  • This may include a phone interview and identity checks
  • Helppa may approve or reject applications at its sole discretion
  • Approval does not guarantee work or income

4. Services and standards

When accepting bookings through Helppa, you agree to:

  • Arrive on time and complete all accepted bookings
  • Deliver services with reasonable skill, care, and professionalism
  • Act honestly, respectfully, and courteously at all times
  • Only accept bookings you are capable of completing
  • Not subcontract or transfer work without permission

You are responsible for ensuring you are competent to carry out any services you accept.

5. Insurance

You agree to:

  • Hold valid public liability insurance appropriate to the services you provide
  • Maintain insurance for the duration of your relationship with Helppa
  • Provide proof of insurance if requested

Helppa may also hold platform-level insurance, but this does not replace your obligation to maintain your own cover.

6. Bookings and attendance

You agree that:

  • You will not cancel accepted bookings without reasonable notice
  • You will notify Helppa as soon as possible if you are unable to attend
  • Repeated cancellations or no-shows may result in suspension or removal
  • You are responsible for your own transport and punctuality

7. Payments

You agree that:

  • Payments are processed through Helppa
  • You will be paid for completed bookings via Stripe Connect or another approved system
  • Payments are released after completion of services, subject to any dispute or issue resolution process
  • Helppa may withhold or adjust payments in cases of poor performance, complaints, or suspected fraud

8. Conduct and behaviour

You agree to:

  • Treat customers with respect and professionalism at all times
  • Maintain appropriate boundaries with customers
  • Not discriminate, harass, or act abusively in any form
  • Keep all customer information confidential
  • Not use customer details for any purpose outside Helppa bookings

9. No off-platform work

You agree that you will not:

  • Accept or arrange work directly with customers introduced through Helppa
  • Circumvent Helppa for payment or booking purposes
  • Share contact details for the purpose of bypassing the platform

Breaching this clause may result in immediate removal from Helppa.

10. Health, safety and responsibility

You are responsible for:

  • Carrying out services safely and appropriately
  • Assessing risks in the working environment
  • Using suitable tools, equipment, or materials where required
  • Ensuring you are fit and able to complete the work you accept

Helppa is not responsible for injury, loss, or damage arising from your work, except where required by law.

11. Cancellations, suspension and termination

Helppa may suspend or terminate your access to the platform at any time if:

  • You breach this Agreement
  • You fail to meet service standards
  • You behave inappropriately or unlawfully
  • You repeatedly cancel or fail to attend bookings
  • There are safeguarding or safety concerns

12. Data protection and confidentiality

You agree to:

  • Keep all customer information confidential
  • Only use personal data for the purpose of completing bookings
  • Comply with applicable data protection laws

13. Liability

You are fully responsible for the services you provide.

Helppa is not liable for any loss, damage, injury, complaint, or dispute arising from services you deliver, except where required by law.

14. Changes to this Agreement

Helppa may update this Agreement from time to time. Continued use of the platform constitutes acceptance of any changes.

15. Governing law

This Agreement is governed by the laws of England and Wales. Any disputes will be subject to the courts of England and Wales.
